Effective date: 2 September 2026
1. Agreement to these Terms
These Terms & Conditions (the “Terms”) form a legally binding agreement between you and Minto Delivery (“Minto”, “we”, “us”, or “our”) governing your access to and use of the Minto Delivery website, mobile applications, and related services (the “Platform” and “Services”).
By creating an account, clicking to accept, submitting a registration form, or otherwise accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of a business (for example, as a Restaurant Partner), you represent that you have authority to bind that business to these Terms.
2. Definitions
- Customer means a person who uses the Platform to browse restaurants, place Orders, or receive deliveries.
- Restaurant Partner means a restaurant, kitchen, or food business that lists goods on the Platform.
- Delivery Partner means an individual who accepts delivery jobs through the Platform.
- Partner means a Restaurant Partner, Delivery Partner, or both, as the context requires.
- Order means a request placed through the Platform for goods offered by a Restaurant Partner, with or without delivery by a Delivery Partner.
- Content means text, images, menus, ratings, reviews, messages, and other materials submitted to or displayed on the Platform.
- User means any Customer, Partner, or other person who accesses the Services.
3. About the Platform
Minto operates a technology platform that connects Customers with Restaurant Partners and Delivery Partners. We provide tools for discovery, ordering, payment facilitation, order tracking, partner onboarding, and platform administration.
Unless we expressly state otherwise for a specific product:
- Restaurant Partners prepare and supply the goods customers order.
- Delivery Partners perform delivery services for accepted jobs.
- Minto is not the restaurant, manufacturer, or seller of food unless clearly identified as such for a particular offer.
- Contracts for the sale of goods are generally between the Customer and the Restaurant Partner; delivery arrangements may involve the Delivery Partner as facilitated through the Platform.
Availability of restaurants, delivery coverage, features, and payment methods may vary by location and over time.
4. Eligibility and accounts
4.1 Eligibility
You must be at least 18 years old (or the age of legal capacity applicable to you) and able to form a binding contract under applicable law to use the Services. Partners must also meet any additional onboarding, licensing, and verification requirements we specify.
4.2 Account registration
You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account, except where unauthorised access results from our failure to apply reasonable security measures.
4.3 Account security and misuse
Notify us promptly at support@gominto.co if you suspect unauthorised access. We may suspend or restrict accounts that appear compromised, inactive, fraudulent, or in breach of these Terms.
5. Customer terms
5.1 Browsing and ordering
Menus, prices, images, and estimated times shown on the Platform are provided for ordering convenience and may change. An Order is submitted when you complete checkout according to the in-app flow. Restaurant and delivery availability can affect whether an Order can be accepted or completed.
5.2 Pricing display
Before you confirm an Order, the Platform will show applicable item prices and, where charged, delivery fees, service or platform fees, taxes, tips, and promotions. By placing an Order, you agree to pay the total amount presented at checkout.
5.3 Special instructions, allergens, and dietary needs
We and Restaurant Partners will try to accommodate reasonable special instructions, but cannot guarantee that every request can be fulfilled. Minto is not a food manufacturer and does not independently verify ingredients, allergen information, or dietary compliance. If you have allergies or dietary restrictions, contact the Restaurant Partner before ordering and exercise your own judgment. You assume responsibility for decisions based on menu information displayed on the Platform.
5.4 Delivery estimates
Estimated preparation and delivery times are indicative only. Actual times may vary due to demand, traffic, weather, restaurant readiness, address accuracy, and other factors outside our full control.
5.5 Your responsibilities
You agree to:
- Provide a complete and accurate delivery address and contact details.
- Be available to receive the Order or arrange a reasonable alternative.
- Ensure the delivery location is safe and accessible.
- Not request unlawful, unsafe, or abusive conduct from Partners.
6. Orders, cancellations, and refunds
6.1 Confirmation and fulfilment
After you place an Order, the Restaurant Partner may accept, reject, or become unable to fulfil it (for example, due to stock or capacity). We may cancel an Order if payment fails, fraud is suspected, serviceability issues arise, or legal or safety concerns require it.
6.2 Cancellations
Cancellation options depend on Order status (for example, whether the restaurant has started preparation or a Delivery Partner is en route). Rules and available actions are shown in the app or explained by support at the time of your request. Repeated abusive cancellations may lead to account restrictions.
6.3 Refunds and remedies
Refund eligibility depends on the circumstances—such as non-delivery, missing or incorrect items, quality issues reported promptly, cancellations permitted by the in-app policy, or requirements of applicable law. Approved refunds are typically returned to the original payment method or as Platform credit where offered and practical. Processing times may vary by payment provider.
Detailed refund and support procedures may be published in-app or by our support team and may be updated from time to time. Nothing in this section limits non-excludable consumer rights under applicable law.
7. Payments, fees, and promotions
7.1 Payment methods
You may pay using the methods we make available (for example, cards, e-wallets, QR payments, or cash on delivery where offered). Payments may be processed by authorised third-party payment service providers. You authorise charging the selected method for the Order total and any adjustments agreed under these Terms.
7.2 Failed or disputed payments
If a payment fails, is reversed, or is charged back improperly, we may suspend fulfilment, seek recovery of amounts owed, and restrict your account until the matter is resolved.
7.3 Promotions and vouchers
Promotional codes, discounts, and credits are subject to their stated conditions (validity period, minimum spend, eligible restaurants, one-time use, and similar limits). We may modify or withdraw promotions that are misused, erroneous, or no longer commercially reasonable, subject to applicable law.
8. Restaurant Partner terms
If you register or operate as a Restaurant Partner, you additionally agree that:
- You will provide accurate business, menu, pricing, allergen (where provided), and operating information and keep it updated.
- You hold and maintain all licences, permits, and food-safety approvals required to prepare and sell the goods you offer.
- You are responsible for food quality, preparation, packaging, labelling (where required), and compliance with public health and consumer laws.
- You will process Orders with reasonable care, honour displayed availability where practicable, and communicate delays or inability to fulfil promptly through the Platform.
- Menu prices and item descriptions you supply are your responsibility; Platform display tools do not shift that responsibility to Minto.
- Commission, settlement, marketing tools, and service levels may be set out in a separate partner agreement or onboarding materials, which will prevail over these Terms on commercial terms if they conflict.
9. Delivery Partner terms
If you register or operate as a Delivery Partner, you additionally agree that:
- You meet eligibility, identity, vehicle, and licensing requirements communicated during onboarding and thereafter.
- Unless a written agreement states otherwise, you provide delivery services as an independent contractor and not as an employee of Minto. Nothing in these Terms creates a partnership, joint venture, or employment relationship by default.
- You will comply with traffic laws, safety standards, and Platform conduct rules while performing deliveries.
- You will not transfer, rent, or allow another person to use your Delivery Partner account without our prior written approval.
- You will handle Orders with reasonable care and respect Customer and restaurant property and privacy.
- Earnings, incentives, fees, and payout schedules are governed by the Platform rules and any separate partner agreement in force at the relevant time.
10. Restricted and age-restricted items
Some goods (including alcohol, tobacco, or other regulated products) may be offered only where lawful and subject to age and other restrictions. By ordering such items, you represent that you meet the legal age and other requirements. Restaurant Partners and Delivery Partners may request valid ID and may refuse handover if proof is not provided or if fulfilment would be unlawful. We may remove restricted listings or cancel related Orders to comply with law.
11. Acceptable use
You must not, and must not attempt to:
- Use the Services for any unlawful, fraudulent, harmful, or deceptive purpose.
- Interfere with Platform integrity, security, or availability (including scraping, reverse engineering where prohibited, or overloading systems).
- Impersonate others, create fake accounts, manipulate ratings, or submit misleading Content.
- Harass, threaten, or abuse Customers, Partners, or Minto staff.
- Upload malware or content that infringes intellectual property, privacy, or other rights.
- Circumvent fees, promotions, geo-restrictions, or account enforcement measures.
- Use the Platform to solicit Partners or Customers away from Minto in breach of a separate non-solicitation obligation, if any applies to you.
We may investigate suspected violations and take action including Content removal, Order cancellation, account suspension, and referral to authorities.
12. User content and intellectual property
12.1 Your Content
You retain ownership of Content you submit (such as reviews or profile information), but you grant Minto a worldwide, non-exclusive, royalty-free licence to host, use, reproduce, modify (for formatting), display, and distribute that Content in connection with operating, promoting, and improving the Services. You represent that you have the rights needed to grant this licence and that your Content is lawful and accurate to the best of your knowledge.
12.2 Minto intellectual property
The Platform, branding, software, and Minto-created materials are owned by Minto or its licensors. Except for the limited right to use the Services as permitted under these Terms, no intellectual property rights are transferred to you.
12.3 Feedback
If you provide suggestions or feedback, you grant Minto the right to use them without obligation or compensation to you.
13. Third-party services
The Services may integrate or link to third-party products such as maps, payment gateways, messaging providers, app stores, or analytics tools. Those services are governed by their own terms and privacy policies. Minto is not responsible for third-party services except to the extent required by law or expressly agreed in writing.
14. Disclaimers
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components, or that any particular restaurant, item, Delivery Partner, or delivery time will be available.
Food quality, preparation, and safety are primarily the responsibility of the Restaurant Partner. Delivery performance for a given job is primarily the responsibility of the Delivery Partner performing it, subject to Platform facilitation and any applicable partner agreement.
15. Limitation of liability
To the maximum extent permitted by applicable law, Minto and its directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from or related to your use of the Services.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence where such exclusion is prohibited.
16. Indemnity
You agree to indemnify and hold harmless Minto and its affiliates, officers, and employees from reasonable claims, losses, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your misuse of the Services; (c) your Content; (d) your violation of law or third-party rights; or (e) if you are a Partner, your goods, services, or delivery conduct—except to the extent caused by Minto’s wilful misconduct or where prohibited by law.
17. Suspension and termination
You may stop using the Services at any time and may request account closure by contacting support@gominto.co, subject to completion of open Orders and settlement of outstanding amounts.
We may suspend or terminate access immediately if you materially breach these Terms, create legal or safety risk, engage in fraud, or if we discontinue the Services in your area. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
18. Changes to these Terms
We may update these Terms as the Services or legal requirements evolve. We will revise the effective date at the top of this page and, for material changes, provide notice through the Platform, email, or another reasonable channel where practicable. Except where consent is required by law, continued use after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Services.
19. General
- Entire agreement. These Terms, the Privacy Policy, and any additional partner agreements or policies expressly incorporated by reference form the entire agreement between you and Minto regarding the Services, and supersede prior understandings on the same subject.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a corporate reorganisation or sale of assets.
- No waiver. Failure to enforce a provision is not a waiver of the right to do so later.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, epidemics, labour disputes, network outages, war, or government action.
- Language. These Terms are provided in English. If a version is published later and conflicts with the English version, the newer version will prevail for Users in to the extent required by law, unless we state otherwise.
20. Additional partner agreements
Restaurant Partners and Delivery Partners may be required to accept separate commercial, onboarding, or operations agreements. If there is a conflict between those agreements and these Terms on fees, settlement, service levels, or other commercial terms, the separate partner agreement prevails for that conflict. These public Terms continue to apply to Platform use generally.
